1. What Borrego provides

B5 Source, doing business as Borrego Business Systems ("Borrego," "we," "us"), helps businesses understand and improve how their work runs. The intake page is for a first, exploratory conversation. Any paid engagement that follows is governed by a separate written services agreement, not by these terms.

2. Not advice, and not a guarantee

Any preliminary summary, observation, or roadmap we provide after your submission is for general information only. It is not professional, legal, financial, tax, or accounting advice, and isn't a promise of any particular result. Any effort, timeline, or cost figures are rough ranges, not commitments. You're responsible for your own business decisions.

3. Preliminary assessments are non-binding

A preliminary assessment is a starting point for a conversation, based only on what you tell us and any public information you ask us to look at. It may be incomplete or need revision. Nothing in it obligates you or us to enter into an engagement.

4. Your responsibilities

You agree to:

• provide information that is accurate and yours to share;
• not submit passwords, credentials, payment details, or other people's personal information; and
• not use the form unlawfully or to submit content you don't have the right to share.

5. Intellectual property

The site, its content, and the Borrego name and marks are ours. You keep ownership of the business information you submit. You grant us a limited, non-exclusive license to use it solely to prepare and discuss your preliminary review. We claim no other rights in it.

6. Third-party services

The form and follow-up rely on third-party providers (Tally for form hosting and storage, and Google Workspace for email, scheduling, and video calls). Their own terms and privacy practices also apply to the parts they handle.

7. Disclaimers

THE WEBSITE, THE INTAKE FORM, AND ANY PRELIMINARY ASSESSMENT OR OTHER MATERIALS PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. BORREGO DOES NOT WARRANT THAT ANY PRELIMINARY ASSESSMENT WILL BE COMPLETE, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR USE.

8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, B5 SOURCE DBA BORREGO BUSINESS SYSTEMS AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE, THE INTAKE FORM, OR ANY PRELIMINARY ASSESSMENT. IN ALL CASES, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO PARTS OF THE ABOVE MAY NOT APPLY TO YOU.

9. Governing law and venue

These terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these terms, the website, or the intake form shall be brought exclusively in the state or federal courts located in Adams County, Colorado, and you consent to their jurisdiction.

10. Changes

We may update these terms and will change the effective date and version above when we do.
